These Terms, Conditions and Risks define the interactions between ROD Project Administration (hereinafter - "ROD" or "we") and you - a visitor to the Site, a user of the Services and software (Software) (hereinafter - "User" or "you").

By visiting, browsing the Site and/or using the Services and Software offered by the Site, you accept by default these Terms, Conditions, Terms and Risks and the Privacy Policy also available at https://rod.top. If you do not agree to the Terms, Conditions and Risks or the Privacy Policy, you must not visit the Site or use its Services/Software. In this regard, we ask you first of all to familiarize yourself with all the information provided below.

ROD Project Administration reserves the right to make changes to the current Terms, Conditions and Risks. Any changes made shall take effect immediately upon publication on the Website and shall take precedence over the previous version of the Terms, Conditions and Risks. As a consequence, the User should check this page for changes on a regular basis.

1. Information published on the Site

All publications posted on the pages of the Site, including those on social networks, are for informational purposes only. Any materials and information provided should not be considered as advice or call to action. Our Site does not offer stocks, bonds, promissory notes, mortgage bonds, checks, futures and any other documents related to primary and secondary financial instruments to its Users.

By using information from the Site for resolving any legal, business, social and other issues, you act at your own risk and assume full responsibility for the result of your actions. When making such decisions, you should seek help of licensed specialists in the relevant field to obtain qualified consultation and/or services. In no case shall the Site Administration or its visitors be held liable for the actions, decisions and/or conduct that you implement, guided by the information published on the Site.

2. Right of use and restrictions

Persons who are under legal age (in accordance with the legislation of their respective country) are prohibited from visiting the Site and using the Services/Software offered. Therefore, by using the Site, you confirm that you have already reached the required age.

We urge you to comply with the national laws that apply to you, and we strongly recommend that you immediately leave the Site if the use of the Services and Software we offer, as well as any actions with cryptocurrencies or tokens and the use of blockchain-based platforms or other crypto projects is directly or indirectly prohibited in your respective country of citizenship, stay, residence or tax residence. You hereby represent and warrant that you are not a citizen or resident of a state whose legislation prohibits visiting and using online resources of this nature, including:

States that directly or indirectly prohibit the circulation, use or mining of cryptocurrencies, tokens, including NFTs (non-fungible tokens), the use of GameFi products, including Telegram bots, and various blockchain-based products, and the access to and use of Internet resources of this nature (collectively, the "Prohibited Countries").

Any person who has citizenship or residence permit or is a tax resident of the United States of America (hereinafter — the 'Prohibited Country') has no right to visit the Site and use the Services/Software we offer. Based on this, if you are a US citizen, reside in the US or are a US tax resident, you must immediately leave the Site, refrain from using the Services and Software either by yourself or through any third parties. The same applies to all countries that have an active ban on cryptocurrencies, tokens and blockchain technology in one form or another.

The ROD project Administration shall not be liable for any violations of any laws, rules or restrictions committed by Users, whether individuals or legal entities. Users themselves shall be held liable for any violations committed in accordance with applicable legislation. Users assume liability for studying applicable legislation on their own to determine legality of using the Services/Software and to comply with any applicable legal requirements.

Users should be aware that they may be deprived of access to the Site partially or entirely based on the current legislation of a particular state or taking into account inclusion of their state in the list of 'Prohibited countries'.

Users are also not allowed to do the following:

Use the Site and Services for any illegal purposes, including money laundering, illegal gambling, terrorist financing, hacker attacks, and so on;
Damage or in any way interfere with the operation of the Site or obstruct other persons when they use the Site or the Services/Software we offer;
Attempt in any way to gain illegal access to the Site, Services, Software, computer systems or networks connected to the Site;
Recreate, copy, replicate, sell, resell or use (for personal gain or for other purposes) any information from the Site without the direct written consent of the ROD project Administration;
Download, publish or transmit prohibited messages or spam while using the Site;
Upload malicious software, bots and other program code/files to the Site that could interfere with the operation of a computer, telecommunications equipment or software and destabilize or disable them;
Violate the rights of third parties, including agents and partners of ROD, or inflict damage on them in any other way;
Collect and transfer confidential data about the users of the Site, including their personal data, to third parties without the personal consent of the Users.

3. Risks of using the ROD Site

The Site shall not be liable for any losses, damage and claims that may arise for any reason, including, but not limited to the following:

User actions that led to the inability to correctly use the Site, Software and Services. In particular, if the User forgets a mnemonic phrase, sends a transaction to the wrong ('incorrect') address in the cryptocurrency network, accidentally deletes the software, loses certain data, etc.
Problems that cause malfunctioning of the Site or any affiliated Software or Services. These include software damage, incorrect transaction creation, use of insecure cryptographic libraries, impact of malicious code on the Site or any affiliated Software and Services.
Technical issues that originated on the User's device and led to the loss of access to the Site or any related Software or Services, for example, loss of credentials and any other data due to malfunction or complete failure of the device where this data is stored.
Issues related to security of the User of the Site and Services that have arisen due to illegal access by third parties to the User's account, wallets and other confidential information.
Action or inaction on the part of third parties and/or events that directly affect third parties, for example, shutdown of a service provider, force majeure circumstances resulting in shutdown of Internet communications, hacker attacks on the provider's network, third-party fraud, as well as volatility of cryptocurrency and token price (including a decline in price) and other circumstances that do not depend on the ROD Administration.
The drop of the exchange rate in the UMI cryptocurrency and/or ROD token, as well as any other issues related in one way or another to cryptocurrencies and blockchain technology, tokens, NFT, GameFi and other products, including Telegram bots among others.

4. Warning about the risks of using cryptocurrencies and tokens

Cryptocurrencies and tokens are classified as a commodity or financial asset in many countries. You need to be aware that buying any cryptocurrency or token entails serious risk and can lead to financial losses in the short or long term. Persons who buy cryptocurrencies and tokens should be aware of and acknowledge the fact that the price of cryptocurrencies and tokens may fluctuate widely, for example drop by many times or even depreciate completely (fall to zero), and that all sorts of problems may arise with any cryptocurrency or token, as a result of which they may disappear forever from the global ecosystem.

Cryptocurrencies and tokens are not backed by the central bank or any other government agency which makes them an unreliable asset. Digital coins are not physical coins, are not bound to a fiat currency in any way (with the exception of stablecoins) and are highly volatile.

By using our Site, you confirm that you are aware of all the risks and agree to them, including, but not limited to the risks described above. The ROD has no control over these risks. Before entering into any transaction, you should objectively assess your own risks and experience, and, based on this, determine whether you have sufficient knowledge and understanding of digital currency and trading. You should run any transaction based on your own independent risk analysis, as well as on the recommendations by professionals who you can find on specialized resources. Representatives of the ROD Project Administration are not professional consultants in the field of cryptocurrencies, tokens and related products and, therefore, do not provide any kind of advice in this field or make any recommendations of any kind.

You should not transact in cryptocurrencies and tokens and related products unless you are prepared to lose all assets you use on the Site, including the ultimate loss of all funds expended to purchase the cryptocurrencies or tokens.

None of the information and materials posted on the Site and related resources, including social media, should be construed as professional advice or solicitation to buy or sell cryptocurrency or tokens.

5. Warning about the risks of using GameFi and other blockchain-based products

GameFi are blockchain products that can allow Users to be rewarded through gameplay. The model can combine game mechanics, DeFi elements, non-fungible tokens (NFTs), and elements/products from the metaverse sector and so on.

All types of crypto-assets (except for stablecoins), including UMI cryptocurrency, ROD token and NFT tokens are not tied to fiat currency and are subject to high volatility. Their value may rise or fall to indefinite limits (up to zero) depending on the supply and demand in the market.

By purchasing and/or using any GameFi-products, including Telegram-bots, as well as various types of crypto-assets, including UMI, ROD and NFT-tokens, and any other products based on blockchain technology, you are aware of all risks of financial losses associated with such purchase and use, and take full responsibility for all possible losses.

Using GameFi-products, including Telegram-bots, and other products based on blockchain technology, you also realize all responsibility for your actions and their possible consequences, including financial losses. The administration of the ROD project in turn does not bear any responsibility for the use of GameFi products, including Telegram-bots, and other products based on blockchain technology, as well as for the purchase/sale/exchange and other transactions with crypto-assets, including UMI, ROD and any NFT-tokens.

Also, ROD Administration does not set or predict the price of any cryptoassets used in GameFi and other blockchain products, including Telegram bots, including UMI cryptocurrency, ROD token and any other, and does not determine the value of these cryptoassets in any way.

6. Compliance with tax legislation

Users of the Website independently determine what taxes (if any) they must pay for transactions with any types of cryptoassets or blockchain products. The ROD Project Administration and persons involved in the development of the Software and provision of the Services are NOT responsible for Users' compliance with the taxation rules that apply to transactions with cryptocurrencies, tokens and blockchain products in the country of their permanent residence or temporary stay. We in turn encourage full compliance with the law and payment of all fees required by the government (if any).

7. The Site is not responsible for cryptocurrencies, tokens, NFTs, trading platforms, GameFi and other blockchain products

Technically, cryptocurrencies, tokens, NFTs and transactions exist only as "ownership records" in the blockchain of cryptocurrency networks. The site only provides information about cryptocurrencies, tokens and NFTs, information on the use of wallets, staking pools, GameFi and other blockchain products related directly to the cryptocurrency networks themselves, as well as information on the exchange of cryptocurrencies, tokens through online resources of partners. Detailed information about the networks themselves, platforms and software is available on the respective official resources.

ROD staking pools allow, through steaking (mining new tokens), to increase the number of tokens, but not the amount of money spent on the purchase of these tokens. The volatility of the rate of cryptocurrencies and tokens can be greater than the rate of their generation, which in turn can also change due to changes in the characteristics of the cryptocurrencies and tokens themselves. The administration of the ROD project cannot influence this and does not bear any responsibility for the rate of cryptocurrencies, tokens and NFT, including UMI cryptocurrency and ROD token. ROD and cryptocurrencies, including UMI, are different and independent of each other. As for UMI itself, it is a cryptocurrency network on whose blockchain the ROD token was created.

8. No guarantees

The User of the Site acknowledges and agrees that access to and use of the Site is at the User's own risk. Without prejudice to the generality of the foregoing, ROD Project Administration shall not be liable to Users for any unavailability of the Site or the Services it offers, including the unavailability of GameFi Products, including Telegram bots, and other blockchain products, in whole or in part, which may be due to periods of downtime or any other cause beyond our reasonable control, or due to maintenance, upgrades, updates, additions or other actions by us.

All Services and any information, including software, GameFi products, including Telegram bots, and other products, information, text and related graphics, posted or available on the Site are provided "as is" and "as available". Under no circumstances shall the ROD project Administration be held liable for any errors or deficiencies in the Services on the Site. The Site makes no representations and provides no warranties, whether direct or implied, regarding operation of these Services, information or materials published on the Site. The Site provides no warranties and makes no representations regarding suitability, availability, accuracy, reliability, completeness or timeliness of any materials the Services contain. We do not warrant that the Services and other information published on the Site are accurate, reliable or exhaustive in every respect.

9. Limitation of Liability

The administration of the ROD project under no circumstances assumes any material, administrative, criminal and other types of responsibility for any kind of losses of Users, including loss of access to the Site and any products, including Telegram-bots, and Services/software, loss of funds or data, which are somehow related to the use of the Site and any gamefi products, including Telegram-bots, and other blockchain products.

BY USING THE SERVICES OR ANY INFORMATION FROM THE SITE, GAMEFI PRODUCTS, TELEGRAM BOTS, WALLETS, EXCHANGES, ANY CRYPTOCURRENCIES AND TOKENS, INCLUDING ROD AND UMI, ANY BLOCKCHAIN PRODUCTS, SOFTWARE, YOU ARE FULLY AWARE OF THE RISKS OF LOSS AND DAMAGE RESULTING FROM YOUR USE OF THESE SERVICES, INFORMATION AND SOFTWARE.

THE ADMINISTRATION OF THE ROD PROJECT DOES NOT ASSUME ANY RESPONSIBILITY FOR ANY LOSS OR DAMAGE, INCLUDING ANY LOSS OF FUNDS THAT MAY OCCUR DIRECTLY OR INDIRECTLY DUE TO YOUR USE OF INFORMATION OR SERVICES OF THE SITE, GAMEFI PRODUCTS, INCLUDING TELEGRAM BOTS, WALLETS, EXCHANGES, ANY BLOCKCHAIN PRODUCTS, SOFTWARE, CRYPTOCURRENCIES, TOKENS, INCLUDING UMI AND ROD AND EXPECTATION OF A CERTAIN RESULT.

BY USING THE SITE, THE INFORMATION AND SERVICES IT OFFERS, ANY GAMEFI PRODUCTS, INCLUDING TELEGRAM BOTS AND SOFTWARE, AS WELL AS WALLETS, EXCHANGES, ANY BLOCKCHAIN PRODUCTS, CRYPTOCURRENCIES AND TOKENS, INCLUDING UMI AND ROD, YOU UNDERSTAND AND ACKNOWLEDGE THAT THE ADMINISTRATION OF THE ROD PROJECT IS NOT RESPONSIBLE FOR ANY TRANSACTIONS, WHICH USERS PERFORM ON AND OFF THE SITE, AND YOU VOLUNTARILY ASSUME ALL RISKS THAT MAY ARISE WHEN YOU CONDUCT ANY TRANSACTIONS USING CRYPTOCURRENCIES, TOKENS, INCLUDING UMI AND ROD, GAMEFI PRODUCTS, INCLUDING TELEGRAM BOTS, ANY BLOCKCHAIN PRODUCTS, WALLETS, EXCHANGES AND OTHER - BOTH ON THE SITE AND ELSEWHERE.

10. Intellectual property items

The ROD project Administration is the sole rightful owner of all content published on the Site, including design elements, texts, graphics, images, videos, information, software and other files (hereinafter referred to as the 'Content'), with the exception of content rightfully owned by partners of the ROD. All ownership and intellectual property rights to the Site and its Content belong to the ROD Project Administration, its affiliated companies or Content licensors, depending on the circumstances.

The Site and Services are protected by copyrights, trademarks (registered or under registration), service marks, patents or other proprietary rights and laws. Except as expressly provided by applicable law or permitted by the Site Administration or the relevant licensor (for example, the advertiser), you agree not to make changes, rent out or allow temporary use, sell, distribute, transmit, broadcast, publicly perform or create derivatives based on the Site or the Services offered, in whole or in part.

Without limiting the foregoing, any reproduction, distribution, reverse engineering or decompilation of the Services or the Site is expressly prohibited by law and may entail liability under civil and criminal law.

11. Resolution of disputes

In case of disputes or disagreements that may arise based on the current Terms, Conditions and Risks, the parties shall resolve such issues within 7 days from the date of their occurrence. The parties agree to conduct effective negotiations that can lead to the settlement of a dispute or disagreement.

If no consensus has been reached in negotiation, the User of the Site agrees to arbitration of any disputed issue that is related to the Site or the current Terms, Conditions and Risks, with the exception of disputed issues related to copyrights, logos, trademarks, trade names, trade secrets and patents.

Arbitration shall be conducted in accordance with the Arbitration Regulations of the International Chamber of Commerce (ICC) in force at that time (the 'Regulations'), as amended by this document. The seat of arbitration shall be Geneva, Switzerland. A request for arbitration may be submitted in accordance with the Regulations or notification provisions of the Terms of Use and User Agreement. The arbitration proceedings shall be conducted in the English language and, therefore, the award shall also be in the English language. The Arbitral Tribunal shall be composed of three arbitrators. In an arbitration with two parties only, each party shall appoint one arbitrator, and the third arbitrator shall be appointed by the ICC Arbitral Tribunal in accordance with the Regulations. In an arbitration with more than two parties, arbitrators shall be appointed in accordance with Article 10 of the Regulations. If requested by any of the parties to the arbitration proceedings, any arbitrator who has not been appointed in a timely manner shall be appointed by the ICC in accordance with the Regulations. The award passed by the Arbitral Tribunal shall be final and binding on each of the parties. However, neither party shall be entitled to apply to the English courts in accordance with Section 45 of the Arbitration Act 1996, or to appeal on any point of law in accordance with Section 69 of the Arbitration Act 1996. The award of the Arbitral Tribunal shall be the sole and exclusive remedy between the parties regarding any claims, counterclaims, issues or invoices submitted to the Tribunal. Judgment upon any Award may be entered in any court having jurisdiction thereof. The parties agree that the ICC Court and/or the Arbitral Tribunal, at the request of any of the parties to the arbitration proceedings, may combine or consolidate two or more arbitration proceedings that arise from or in connection with this agreement.

This agreement shall be governed by the English law, without regard to the conflict of laws rules.

12. Cryptocurrency and token exchanges and related risks

The Site, including social networks, contains (and/or may place in the future) links that lead to online resources that offer services for buying/selling cryptocurrencies, tokens and NFT on trading platforms, exchangers, decentralized exchanges or other resources. ROD Administration is not responsible for the activities of these resources, as they are third-party and operate under their own rules, terms and conditions. Also, the ROD Administration is not responsible for the activities of the Site Users on these trading platforms, exchangers, decentralized exchanges or other resources.

Trading transactions involving the use of cryptocurrencies, tokens, including the ROD token, UMI cryptocurrency, and NFT, can generate both profits and losses. Digital currencies are characterized by high levels of volatility and significant up and down swings. As a consequence, the value of digital currencies, including ROD token and UMI cryptocurrency, can either go up or down to zero. Buying/selling and other trading operations on online resources, you are not insured against partial or total loss of your funds.
The price of digital currency, including ROD token and UMI cryptocurrency, is formed on the basis of a number of factors that are not determined by the ROD Administration. The value of cryptocurrency, tokens, including UMI cryptocurrency and ROD token at the time of creating an offer to buy/sell and their value at the time of the purchase/sale transaction may differ significantly for reasons beyond the control of the ROD Administration. The price may change greatly for any period of time, and the value of these digital assets at the time of purchase may be very different from the value at the time of sale, up to a drop in price to zero. The Administration does not guarantee demand for any particular cryptocurrency, tokens, including ROD token and UMI cryptocurrency, or NFT and does not regulate the price of cryptocurrencies, tokens, including ROD token, UMI cryptocurrency and NFT regardless of time or circumstances.
